According to a person familiar with the deal, the real prize was North Capital's extensive portfolio of SEC licenses, covering broker dealer transactions, ATS trading, transfer agent services, and investment advisory activity, exactly the kind of regulatory paperwork a crypto native company cannot simply file for overnight.

The deal lands just a week after the SEC ruled that companies can offer tokenized stocks under an innovators exemption, removing certain regulatory barriers that had kept the category cautious.
